These Terms and Conditions govern the use of Tessara's website and the provision of its advisory services. By accessing this website or engaging Tessara's services, you confirm that you have read, understood, and agree to be bound by these terms. If you do not agree, please do not use this website or engage our services.
1. Definitions
- "Tessara" — the business consulting practice operating from 91/2 Sathorn Nua Road, Silom, Bang Rak, Bangkok 10500, Thailand
- "Client" — any individual or organization that engages Tessara's advisory services under a formal agreement
- "User" — any person who accesses or browses this website
- "Services" — advisory and consulting services offered by Tessara, including Strategic Assessments, Organizational Development Programs, and Executive Advisory Retainers
- "Agreement" — the engagement letter or service agreement entered into between Tessara and a Client
- "Content" — text, reports, documents, and materials produced by Tessara in the course of an engagement
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age, that you have the capacity to enter into a binding legal agreement, and that you accept these Terms in full. Organizational users confirm they are acting with authority to bind the organization.
3. Service Description
Tessara provides business consulting and advisory services to organizations and senior executives. Services are available to clients in Thailand and, by arrangement, across Southeast Asia. The specific scope, deliverables, and timeline for each engagement are defined in the relevant Agreement.
Tessara does not provide legal, accounting, medical, or financial regulatory advice. Where such advice is required, clients are encouraged to consult appropriately qualified professionals.
4. Engagement Terms
Scope and deliverables
The scope of each engagement — including deliverables, timeline, and fees — is defined in a written engagement letter agreed by both parties before work commences. Scope changes require written agreement from both parties.
Communication and access
Clients are responsible for providing Tessara with the access, information, and cooperation necessary to perform the agreed services. Delays caused by insufficient client input may affect timelines and will not constitute a breach by Tessara.
Confidentiality
Tessara treats all client information as strictly confidential. Tessara will not disclose, share, or reference client information in any form without prior written consent. Mutual non-disclosure agreements are available upon request.
5. User Responsibilities
Users of this website agree to:
- Use the website only for lawful purposes
- Not attempt to gain unauthorized access to any part of the website or its underlying systems
- Not use automated tools to extract, scrape, or reproduce website content without permission
- Provide accurate information when submitting enquiries or contact forms
6. Intellectual Property
All content on this website — including text, design, structure, and underlying code — is the property of Tessara and is protected by applicable intellectual property laws.
Deliverables produced by Tessara for a specific Client engagement become the property of the Client upon full payment of the engagement fee. Tessara retains the right to use methodologies, frameworks, and approaches developed in the course of engagements, provided that no client-specific or confidential information is included.
7. Payment Terms
Fees
Fees for each engagement are stated in the relevant engagement letter. All fees are quoted in Thai Baht (THB) and exclude value-added tax (VAT) at the applicable rate.
Invoicing
Invoices are issued as specified in the engagement agreement. Payment terms are 14 days from invoice date unless otherwise agreed in writing.
Cancellation
If a Client cancels a fixed-term engagement after work has commenced, fees for work completed to the date of cancellation are payable. Advance retainer payments are non-refundable for the period already served. Cancellation terms specific to each engagement type are detailed in the engagement letter.
8. Disclaimers
Tessara's advisory services represent professional judgment based on information available at the time of the engagement. Advisory outputs are provided to inform decision-making — not to replace the Client's own judgment or guarantee specific outcomes.
This website and its content are provided "as is" without warranties of any kind, either express or implied. Tessara does not warrant that the website will be continuously available, free of errors, or free of malicious code.
9. Limitation of Liability
To the fullest extent permitted by Thai law, Tessara's total liability to any Client arising out of or in connection with an engagement shall not exceed the fees paid by that Client for the specific engagement giving rise to the claim.
Tessara shall not be liable for indirect, consequential, or incidental losses, including loss of profit, loss of opportunity, or reputational harm, arising from the use of advisory services or information provided.
10. Indemnification
Clients agree to indemnify and hold Tessara harmless from any claims, damages, or expenses arising from: misuse of deliverables outside their intended purpose; decisions made without following recommendations in full; or information provided to Tessara that was inaccurate or incomplete.
11. Termination
Either party may terminate an engagement by giving written notice in accordance with the terms of the engagement letter. On termination: fees for work completed are payable; Tessara will cease work and return or securely destroy client materials as instructed; and confidentiality obligations survive termination indefinitely.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through informal discussion within 30 days of written notice of the dispute. If informal resolution fails, disputes shall be referred to mediation before initiating formal legal proceedings.
These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any unresolved disputes shall be subject to the exclusive jurisdiction of the Thai courts.
13. General Provisions
- Entire agreement: These Terms, together with the relevant engagement letter, constitute the full agreement between the parties regarding the subject matter
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force
- Waiver: Failure to enforce any provision does not constitute a waiver of rights
- Assignment: Clients may not assign obligations under an engagement agreement without Tessara's prior written consent
- Notices: Formal notices must be delivered in writing to the addresses specified in the engagement letter
14. Changes to These Terms
Tessara reserves the right to update these Terms from time to time. Updated Terms will be published on this page with a revised effective date. Continued use of this website following any update constitutes acceptance of the revised Terms. Existing engagement agreements are governed by the Terms in force at the time of signing unless both parties agree in writing to apply revised terms.
